Paramount has put its $111 million merger with Warner Bros. on hold, facing a prolonged legal challenge from state attorneys general who argue the deal may harm market competition.

Legal Battle Unfolds

California Attorney General Rob Bonta stated, “They saw that the outcome of a motion for a preliminary injunction was a fait accompli.” Paramount's legal team anticipated losing a preliminary injunction battle and opted for trial instead.

David Ellison, chairman and CEO of Paramount Skydance, initially aimed for a ruling by mid-September to avoid daily costs to Warner Bros. shareholders. However, Judge Araceli Martinez-Olguin's recent decision denied an expedited process, reinforcing the states' strong case against the merger.

Trial Strategy and Timeline

Paramount is now focused on a trial, which it believes could occur before the end of 2026, despite the potential $7 million daily payout to Warner Bros. Discovery shareholders starting September 30. The trial, expected to span two to three weeks, will take place in Martinez-Olguin's Oakland courtroom.

The 12-state coalition, led by Bonta, seeks a 2027 trial date to gather additional evidence. Bonta emphasized the need for more extensive discovery, citing delays by Paramount and Warner Bros. in providing necessary documents.

Potential for Settlement
